SB&V Serves as Co-Underwriters' Counsel in Connection With the Issuance of $311,705,000 of Gas Works Debt

In December 2002, the City of Philadelphia authorized the issuance of $311,705,000 of Gas Works Revenue Bonds, including $125,000,000 in bonds which were issued on December 30, 2002 and a "delayed delivery" offering of $186,705,000, scheduled for delivery in April 2003. Silverman Bernheim & Vogel served as co-underwriters' counsel in connection with the offering of the bonds.

As counsel to the underwriters, the firm bore responsibility for, among other things, the preparation of the Official Statement, for the negotiation and drafting of the bond purchase contracts and the various opinions and certificates to be delivered under the terms of those contracts, and for the preparation of a "blue sky memorandum" advising the underwriters as to the requirements of the various states for the sale of such bonds within their borders.
